Fair Usage Policy

These Terms of Use ("Terms") constitute a legally binding agreement between you and The Morning Context ( “TMC”) governing your access to and use of all platforms operated by TMC, including but not limited to, its official website, social media handles (such as Instagram, X (formerly, Twitter), YouTube, LinkedIn, Facebook), newsletters, and other digital content platforms (hereinafter "TMC Platforms"). These Terms shall apply to all modes of access, including desktop, mobile, application-based, or any other means.

By accessing, browsing, sharing, commenting, or otherwise using any content from TMC Platforms, you expressly agree to be bound by these Terms. If you do not agree to these Terms, you must refrain from using the TMC Platforms or accessing Content therein.

TMC reserves the right to amend or update these Terms at any time, without prior notice, to reflect changes in applicable laws, regulatory developments, or internal content protection practices.

For the purposes of these Terms:

1. “User”/ “you”/ “your” refers to any person accessing, viewing, interacting with, or engaging with, content published by TMC on any TMC Platform.

2. “Content” includes but is not limited to all information, text, images, videos, audio, graphics, articles, posts, metadata, RSS feeds, trademarks, service marks, tags, sound, software, logos, trade dress, design, overall “look & feel” and all forms of intellectual property and proprietary information created or disseminated by TMC.

Subject to your compliance with these Terms, TMC grants you a limited, non-exclusive, non-transferable, revocable access and use of the Content on TMC Platforms strictly for your personal, non-commercial use, in accordance with the principles of fair dealing as enshrined in the Copyright Act, 1957.

1. Non-Commercial Use: Your use is strictly for personal, non-commercial purposes. You are expressly prohibited from using our Content for any commercial purpose, including but not limited to selling, licensing, renting, leasing, distributing, monetising from our Content, or making it available to any third party in any manner whatsoever. This includes, but is not limited to, monetisation on X (formerly, Twitter), LinkedIn, Instagram, YouTube channels, blogs with affiliate links, social media posts, or paid newsletters, or any other mode not listed herein.

2. Attribution and Linking: Whenever you use or refer to TMC’s Content, you must provide clear and prominent attribution to TMC and include a direct link to the original work posted by TMC on the TMC Platforms. Failure to provide proper attribution and linking would be construed as a violation of the Terms.

3. Copyright Compliance: TMC is the first owner of the copyright vested in all the Content on the TMC Platforms. Any unauthorised reproduction, distribution, public display, public performance, or creation of derivative works based on our Content is strictly prohibited, except as expressly permitted herein or by applicable law.

4. Trademark Compliance: Your use of the TMC Platforms does not grant you any right or license to use any of the trademarks, service marks, designs, logos, and trade names of TMC without the prior written consent of TMC. Your use must comply with the applicable law.

You are strictly prohibited from engaging in any of the following activities in relation to the TMC Platforms or Content:

1. Misuse of Content: You are prohibited from using insights, excerpts, infographics or any other form of Content to generate revenue on any social media website, including but not limited to YouTube, X (Twitter), LinkedIn, or any other platform, except as permitted under these Terms. You are prohibited from summarising and reusing Content and exclusive stories without the prior written consent of TMC. If such permission is granted, you must provide clear and due credit to TMC.

2. Misrepresentation of Relationship: You/your use of the Content shall not, directly or indirectly, state or imply that you are affiliated with, endorsed by, supplied by, promoted by, or approved by TMC, unless you have a separate, explicit written agreement with TMC to that effect.

3. Exaggeration of Access: You shall not claim or imply that you have exclusive access to our Content or that our Content is available only through you.

4. Prominence of Shared Content: You shall not share our Content in a setting or context that makes your content or third-party content more prominent than original TMC Content. The integrity and prominence of TMC's Content must be maintained.

5. Metadata: You shall not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices incorporated in or accompanying the Content. You shall not manipulate metadata associated with our Content to misrepresent its origin or ownership.

6. RSS Feed: You shall not use RSS feeds or other syndication methods provided by TMC for any commercial purpose without our prior written consent. You shall not modify, reformat, or alter the Content obtained via RSS feeds in any way that misrepresents the source or content.

7. AI Training: TMC does not consent to the use of, scraping, crawling, or otherwise accessing the TMC Platforms or Content for the purpose of training, developing, or improving any artificial intelligence (AI) models, machine learning algorithms, or similar technologies, without the express prior written consent of TMC. This includes, but is not limited to, using our Content to generate text, images, audio, or video, or to create derivative works for AI purposes.

8. Headline & Excerpts: You shall not use headlines, titles, or short excerpts of TMC Content in an altered, misleading, or framing manner, or in a manner designed to create “clickbait” or to drive traffic to third-party websites or platforms without proper attribution and direct link to the Content and without maintaining the original meaning and intent of the Content. While providing a brief excerpt, you shall provide credit and a direct link to the original article.

9. Use in News Aggregators/Telegram Channels: You are strictly prohibited from redistributing, re-publishing, or making available Content, including full articles, summaries, or significant portions thereof, through news aggregators, free newsletter digests, or private/public communication channels such as Telegram, WhatsApp, or similar messaging platforms, especially those that are behind paywalls or demand donations or subscriptions from users.

10. Deep Linking/Bypassing Paywall: You are forbidden from attempting to share, distribute, or create any browser extensions, hacks, tools, or code that facilitate the bypassing of TMC's paywall or subscription mechanisms, or that reproduce full Content via direct links or embedded code without authorisation.

TMC may use automated or AI-detection tools to track paraphrased and scraped content across platforms.

TMC is not responsible for the content, including any comments and posts published by any third parties on any of the TMC Platforms. TMC reserves the right to remove any third-party content at its discretion and in compliance with applicable laws. Users are prohibited from publishing any content that is, among other things, abusive, offensive, defamatory, illegal, infringing, confidential, or that constitutes private information.

TMC is not responsible for the content and practices of any external websites whose links are available on any of the TMC Platforms or the Content therein.

These Terms shall be governed by and construed in accordance with all the applicable laws and other relevant statutes, rules, and regulations in force in India.

In the event of any breach or attempted breach of these Terms, TMC reserves the right to take immediate action as it deems fit. Upon becoming aware of any infringing or unlawful use of our Content or violation of these Terms, TMC may, at its sole discretion, issue a notice to you. You shall be required to remove the infringing content or immediately cease the unlawful activity, but not later than thirty-six (36) hours of receiving such notice from TMC.

Failure to comply with this demand within the stipulated timeframe will be considered a material breach of these Terms, and TMC shall take appropriate legal steps in accordance with applicable laws. TMC reserves its right to avail any legal remedies before an appropriate legal forum against you.

Any dispute, controversy, or claim arising out of or relating to these Terms, your use of the TMC Platforms, or the Content, shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

In the event that you become aware of any unauthorised use, reproduction, distribution, or misuse of any Content, marks, or proprietary material belonging to TMC, including but not limited to copyright infringement, trademark misuse, or violation of these Terms, promptly report such activity to support@themorningcontext.com.

Your report should, to the extent possible, include the following details to enable appropriate review and action:

• a.  A clear description of the allegedly unauthorised Content or activity
• b.  The URL or location where such Content or activity is taking place
• c.  Any relevant screenshots or documentation
• d.  Your name and contact information (optional but encouraged).

TMC reserves the right to investigate any such reports, take appropriate legal or administrative action, and contact relevant parties as necessary.

TMC is open to collaborating and entering media partnerships for social media. All such proposals will be assessed on a case-by-case basis. TMC reserves the right to accept or reject any request at its sole discretion. TMC will discuss specific terms such as attribution and revenue sharing, etc, before approval. Upon approval, TMC will provide the terms and conditions for inter alia referencing, summarising, or repurposing content. TMC may also charge a licensing fee for using its content, particularly when the content leads to revenue generation.

• d.  Any projected monetisation plans or sponsorship affiliations.

1. No Waiver: No failure or delay by TMC in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.

2. No Partnership: Nothing contained in these Terms shall be construed as creating any agency, partnership, joint venture, or other form of joint enterprise, employment, or fiduciary relationship between you and TMC.

3. Entire Agreement: These Terms, together with our Privacy Policy, Terms of Service, and the Grievance Redressal Policy, constitute the entire agreement between you and TMC concerning your use of the TMC Platforms and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and TMC with respect to the subject matter hereof.

4. Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms, and the remainder of these Terms shall remain in full force and effect.
